Terms of Service

Effective date: 1 January 2026

These terms are an agreement between SGR Solutions Ltd ("SGR Solutions", "we", "us") and the school or school group that subscribes to SkulPay ("the School"). By subscribing to or using SkulPay, the School agrees to these terms.

1. The service

SkulPay is a subscription service for school fee collection, reconciliation, accounting, budgeting, payroll and reporting. We host, secure, back up, maintain and update the platform. Hosting, maintenance, updates and support are included in every plan.

2. Plans and billing

Subscriptions are billed each term. The subscription for a term is due at the start of that term. We will tell subscribing schools about any price change before the start of the term in which it takes effect.

3. Payment fees

• Transaction fee: 0.5% of each payment collected through SkulPay, capped at ₦600 per payment.
• Settlement fee: ₦50 each time funds are settled to the School's bank account.

The School may pay the transaction fee itself or choose to pass it on to parents. SMS reminders, receipts and announcements sent through SkulPay are free: SkulPay covers the cost.

4. How payments and funds are handled

Payments are processed by CBN-licensed payment partners. Fees paid by parents are held by our partner bank, never in SkulPay's or SGR Solutions' own accounts, until they are settled to the School's nominated bank account. SGR Solutions is not a bank or a payment processor. Settlement timing depends on our payment partners.

5. The School's responsibilities

• Provide accurate school, student, parent, staff and bank account information, and keep it up to date.
• Make sure it is allowed to share student, parent and staff information with us for the purposes of running the service.
• Keep staff logins secure and give each staff member only the permissions their role needs.
• Record cash payments accurately, and review reports and settlements regularly.
• Tell us promptly about any suspected unauthorised access or error.

6. Acceptable use

The School must not use SkulPay for anything unlawful, to collect money for anything other than genuine school fees and charges, to send SMS messages unrelated to the school, or to try to access another school's data or interfere with the platform.

7. Cancellation

The School can cancel at the end of any term and will not be billed for the next term. Fees already paid for the current term are not refundable. On request before the account is closed, we will provide an export of the School's records.

We may suspend or end the service if the School seriously breaches these terms or does not pay its subscription, after giving notice where reasonable.

8. Data and privacy

The School owns its data. We process it only to provide the service, as described in our Privacy Policy. Each school's data is kept separate from every other school's.

9. Availability and support

We work to keep SkulPay available and reliable, but we do not guarantee uninterrupted service. We may carry out planned maintenance, and we will try to do this at quiet times. Support is available by phone, WhatsApp and email.

10. Liability

We are not responsible for losses caused by incorrect information entered by the School, by the School's staff, or by events outside our reasonable control, including failures by banks, payment partners or telecom networks. Our total liability to the School in connection with the service is limited to the subscription fees the School paid for the term in which the claim arose.

11. Changes to these terms

We may update these terms from time to time. We will tell subscribing schools about significant changes before they take effect. Continuing to use SkulPay after that means the School accepts the updated terms.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.
